Company Services

Running a company can be relatively straightforward if you know what you are doing. However, getting it wrong because of the myriad of rules and regulations can result in more headache, fines, and penalties. We are experienced in administering and running companies and with our expert knowledge of company law we can make sure that your compliance obligations are fulfilled, and you avoid any complications with your company. We offer various company services to help you run your business.

Company Secretarial Services

Strictly speaking, a company does not need to have a secretary who is normally responsible for ensuring the company’s legal obligations are complied with. If the company does not have a company secretary, the duties of the company’s obligations fall on the directors of the company. There are a number of compulsory legal obligations imposed on the company under the Companies Act and other legislation.

We can help you with:

Maintaining the company register
Filing your confirmation statement
Appointment and resignation of directors
Change of registered office details
Change of accounting reference dates
Company name changes

If you need help with any of the above, contact us for your free initial consultation to see what we can do for you.

Company Agreements

If you are a sole director and shareholder of your limited company, usually there is no requirement to have complicated agreements between the company and the shareholders and directors.

You should still have some basic agreements in place to ensure your position within the company is secured and transparent and there are mechanisms in place for your proper renumeration.

If there is more than one director or shareholder, it is imperative that you have appropriate agreements in place to deal with the administration of the company and also any disputes that may potentially arise. These agreements are usually overlooked in the exciting phase of setting up a new company and business but if they are not in place itis likely that you will end up having to litigate your position within the business.

A simple shareholder’s agreement can deal with the following:

Director and Shareholder decisions- Purchase and sale of shares
Appointment and resignation of directors.
Directors remuneration
Sale of the business
Disputes between directors and shareholders
Exist provisions
Business management
Profit and loss calculations
Directors remuneration

A well drafted shareholders agreement can avoid lengthy and costly disputes between directors and shareholders and can almost in all cases avoid costly litigation. If you want to find out more about how you can be protected under a shareholder’s agreement, give us a call, and speak to one of our experienced consultants.

Company Restoration

If you have not kept up to date with your company’s obligations, it is likely that you sooner or later your company will be struck off the register of companies.

You may not be aware of anything until it is too late. Often, your company bank accounts will be frozen without any notice if your company is struck of the register. Once a company is struck off, all assets of the company belong to the Crown. Therefore, if you have any money in any company bank accounts you will not be able to access them. Alternatively, you may wish to still use the name of the company or you may be currently still trading in which case it is imperative that your company is restored.  In the vast majority of cases, we can arrange for the company to be restored within five working days.

Contact us if you require your company to be restored.

Company Accounts

We work with a number of accountants who can assist with compiling your company
accounts for submission to Companies House and HMRC. It is imperative that you obtain
expert advice in relation to the finances of your company.
